The plain-language version: install the apps, pay what the plans say, treat your customers fairly, and email me when something is wrong.
Who these terms are with
These terms cover the ShopLyft apps for Shopify: PerkJar, RallyCrew and NextBatch, plus Wayfind. They are an agreement between you, the merchant who installs an app, and TFC Business Solutions LLC, a Florida company run by Jamie Farrell ("I" and "me" below). By installing an app you agree to them. If you don't agree, please don't install it.
Shopify's own terms also apply to your use of Shopify and the Shopify App Store.
What the apps do
Each app adds a feature to your Shopify store, described on its page on this site. I keep improving the apps, so features can change. If I remove something you rely on, I will try to tell you first.
Plans and fees
- Each app has two plans: a free plan at $0 a month plus 1% of attributed sales, and a Studio plan at $29 a month with no usage charge.
- "Attributed sales" means the orders and amounts described for each app on the How billing works page. Every counted order is listed on the app's Billing page so you can check it.
- Shopify bills these charges for me as part of your Shopify bill. Shopify's billing terms, including its rules on refunds of app charges, apply.
- If I change a price, I will give you at least 30 days' notice by email or in the app, and the change will only apply after that.
Your responsibilities
- You are responsible for your store, your offers and your customers. That includes the discounts, rewards, commissions and subscription terms you set, and honoring them.
- You are responsible for telling your customers how their data is used, for example in your store's privacy policy, and for getting any consent the law requires.
- Laws on loyalty programs, referral programs, influencer disclosures, automatic renewals and marketing email vary by place. You are responsible for following the ones that apply to your store.
- RallyCrew records commissions. Paying creators, and any tax or reporting that goes with it, is up to you.
Acceptable use
Please don't use the apps to break the law, to send spam, to mislead shoppers, or to try to get around the billing rules or access data that isn't yours. I may suspend an app on a store that does, after telling you why when I can.
Data
You own your store's data and your customers' data. I use it only to run the apps and work out their fees, as described in each app's privacy policy: PerkJar, RallyCrew, NextBatch, Wayfind. I never sell it.
The data processing agreement sets out how I handle your customers' personal data on your behalf: roles, sub-processors, security, deletion and breach notice. Accepting these terms includes it.
Availability and support
I work to keep the apps running and fix problems quickly, but I can't promise they will never be down or never have bugs. Support is by email at him@thejamiefarrell.com, as described on the support page.
Ending
You can stop at any time by uninstalling the app. I may stop offering an app; if I do, I will give you at least 30 days' notice unless the law or Shopify requires otherwise. What happens to data after uninstall is described in each privacy policy.
No warranty
The apps are provided "as is." To the extent the law allows, I make no promises beyond what these terms say, including that the apps will increase your sales or fit a particular purpose.
Limit of liability
To the extent the law allows, I am not liable for indirect or consequential losses, such as lost profits or lost data. My total liability for any claim about an app is limited to the amount you paid for that app in the 12 months before the claim.
Governing law
These terms are governed by the laws of the State of Florida, USA. Any dispute will be handled in the courts located in Orange County, Florida, unless the law where you are says otherwise.
Changes to these terms
If I change these terms, I will update this page and the date at the top. For changes that matter, I will tell you by email or in the app before they take effect. Questions: him@thejamiefarrell.com.
